Terms and Conditions

1. Scope

These General Terms and Conditions (GTC) apply to all contracts concluded between Schwarzott Capital Partners AG, Löwenstraße 20, 8001 Zurich, Switzerland, and Schwarzott Global LLC, 3119 Coral Way STE 200, Miami, FL, 33145, USA (hereinafter referred to as the „Company“) and its customers. Deviating, conflicting, or supplementary general terms and conditions of the customer will not become part of the contract unless the Company expressly agrees to their validity.

2. Conclusion of Contract

A contract between the Company and the customer is concluded when the Company accepts the customer’s order or when the Company begins to provide the service. The presentation of goods and services on the website does not constitute a legally binding offer but an invitation to submit an order.

3. Payment Terms

Payment shall be made by bank transfer, credit card, or other offered payment methods. Prices are exclusive of applicable VAT. Payments are due immediately upon receipt of the invoice without any deduction. In the event of late payment, the Company reserves the right to charge reminder fees and default interest.

4. Liability Disclaimer

The Company is only liable for intent and gross negligence. For slight negligence, the Company is only liable for the breach of essential contractual obligations (cardinal obligations). In any case, liability is limited to the typical, foreseeable damage.

5. Data Protection

The processing of personal data is carried out in accordance with the General Data Protection Regulation (GDPR) of the European Union as well as the applicable data protection laws of Switzerland and the USA. Detailed information can be found in our Privacy Policy.

6. Final Provisions

The law of Switzerland applies to Schwarzott Capital Partners AG, and the law of the USA applies to Schwarzott Global LLC. The place of jurisdiction for all disputes arising from the contractual relationship is, as far as legally permissible, the seat of the Company.

Should individual provisions of these GTC be invalid or become invalid, the validity of the remaining
provisions shall remain unaffected. In place of the invalid provision, a regulation that comes closest
to the economic purpose of the invalid provision shall be deemed agreed.

These GTC are effective as of September 1, 2024.
